Becoming a vendor is free: Becoming a vendor and putting your items up on our Marketplace is free but there is a review process before your items go live. How selling your items works 2. Your earnings; vendor fee: When your item is sold on our marketplace, you will earn the item price less a vendor fee that we charge. The vendor fee is what you are charged by Siberian CMS for use of our platform and services as a vendor. The vendor fee represents 30% of the item price. 3. Setting the prices of items: You are free to set the price you want for your item. 4. Review: When you think you’ve created an item suitable for Siberian CMS, you can submit that item to us to check the quality and whether it contains adequate information for buyers. Although we always like to provide constructive feedback we’re not obliged to give you any reasons for rejecting your item. We have the final say on whether items are accepted for our marketplace. How do payments of earnings work Earnings payment: 5. We will pay you the item price less the vendor fee. In order for us to do this, you authorize us to collect payments ad to distribute your earnings to you. 6. Earnings payment timing and methods: a. When you register as a vendor, you have to fill the field « Paypal email ». b. We will send you an email in the beginning of each month to request an invoice for your earnings of the previous month. 7. Potential deductions: We may decide to issue a credit or refund to a buyer in certain circumstances involving issues with your item or transactions that may be reversed for other reasons. 8. Currency conversions: Whenever we make a payment to you as a vendor, you are responsible for all costs of converting the amount of the payment from US dollars into your preferred currency. Your financial institution does the currency conversion and may charge you additional fees (we don’t control either the conversion rates or your financial institution’s fees). 9. Holding earnings: If we decide that an item of yours does not comply with an applicable law or any of our rules or guidelines, including the Siberian CMS Terms Of Service For Commercial Editions and these Vendor Terms, we can at our discretion disable the item or your membership. Vendor house-keeping 10. Taxes: a. As a vendor on our marketplace, you are responsible for paying any taxes that apply (with the exception of VAT in an EU Member State). b. Xtraball will charge, collect and account for VAT in an EU Member State when a buyer is located in an EU Member State and does not provide a valid EU VAT Identification number. When a buyer is located in an EU Member State and does provide a valid EU VAT Identification Number, it is the buyer's responsibility to self-account for VAT. It is not your responsibility as a vendor to account for VAT when a buyer is located in an EU Member State. 11. Invoices: We will issue invoices (or in some cases tax invoices) for transactions between vendors and buyers on our marketplace. Your promises and responsibilities: 12. As a vendor you promise to us and each buyer of your items that: a. the item is of acceptable quality and fit for the purpose for which it is 'sold'; b. the item matches the description given by you on the item preview page, as well as any item preview; c. you will honour any express promises given to buyers that are not contained in the Siberian CMS Terms Of Service for Commercial Editions; d. the item and its description are not false, inaccurate, misleading, fraudulent, unlawful or defamatory; e. the item and its description do not violate any applicable law or regulation (including those governing export control, consumer protection, unfair competition, criminal law, pornography, anti-discrimination, trade practices or fair trading); f. the item does not contain viruses or other computer codes, files or programs which are designed to limit or destroy the functionality of other computer software or hardware. 13. If you make your items available on our marketplace for free, then the promises you make to buyers also apply to anyone who downloads your item from the marketplace. In certain circumstances, we may also allow a buyer to purchase an item for another member, and in this case you also agree that these promises apply to the member for whom the item is purchased. 14. As a vendor you promise to us that: a. you will not use our marketplace to offer non-Siberian CMS goods or services to buyers; b. you will not buy your own items; c. you will follow any vendor guidelines provided by us, act in good faith, and provide assistance and co-operation as we reasonably request; d. information and documentation you give us (like your name and address) is accurate; 15. Buyers’ use of your item: We are not liable for any loss suffered by you as a result of a buyer or any other person making use of your item contrary to the Siberian CMS Terms Of Service For Commercial Editions. 16. Our use of your item: We may use the whole or part of your items to promote Siberian CMS. This promotional use may include use in public relations, emails, on a features page, or on other sites (e.g. social networks). No compensation is payable for these uses. 17. Item removal: We have the right to remove an item for any reason, using our reasonable discretion. For example, we may review the libraries to keep the marketplace fresh and full of quality items that meet the latest technical standards and market trends. Also, issues about an item might be brought to our attention such as errors, representations, or even violations. Our goal is always to address these situations with you constructively. We also aim to give you notice before an item is removed, but this is not always feasible or possible, so we can’t guarantee this. We will not be responsible for any loss that you may suffer as a result of your item being removed. Support 18. Customer support: As a seller you can choose the duration of support for each of your items based on our pricing and support structure. During this duration of support, you engage to provide a consistent support to the buyers of your item(s). 19. Issues in supporting customers: if you experience some issues in supporting buyers of your item(s) during a consistent period of time, this may affect the trust of the buyers on both our company and you as a seller. To avoid any prejudice and loss, either for the buyers, for our company, or for you, our company can decide unilaterally to remove your item(s) from sales, or to let your item(s) on sale and deducte all sales from your payment and to handle the support in regard to the incriminated item(s). That support may include code updates being done by our company on the incriminated item(s). When it is proven you can handle a consistent support again, our company won't deducte sales anymore from your earnings, except usual cases ("7. Potential deductions"), and you'll retrieve the management of the customer support for the incriminated item(s). Special arrangements Special deals and promotions 20. Sometimes we might negotiate volume sales or other arrangements with buyers as part of creating business development opportunities for vendors (special deals). In order for us to make this possible you give us permission to negotiate special deals. We might also offer pricing promotions to Siberian CMS buyers. Go forth and vendor!
